These Terms and Conditions govern your access to and use of ml-engineers.com and any services provided through it. By using the website or engaging our services, you agree to comply with these terms.
Definitions
For clarity, the following terms apply:
- Agreement – The written contract, proposal, or accepted scope of work outlining services.
- Client Content – Materials provided by the client for use within a project.
- Deliverables – Work outputs specified in the Agreement.
- Company Tools – Internal frameworks, reusable components, code, and methodologies owned by ml-engineers.com.
- Final Deliverables – Completed and approved work delivered to the client.
- Project – The defined body of services agreed between the parties.
- Services – Development, consulting, or related professional services performed by us.
- Third-Party Materials – External tools, software, or assets not owned by us.
Provision of Services
Services are delivered in accordance with the milestones and scope outlined in the Agreement. We apply professional expertise and commercially reasonable efforts in performing our work.
Delivery timelines may depend on timely client input and external factors.
Proposals and Scope Confirmation
Proposals remain valid for thirty (30) days unless otherwise stated. If not accepted within this timeframe, we may revise and resubmit them.
Fees and Related Costs
Unless expressly included in the Agreement:
- Third-party expenses are billed separately.
- Approved project-related expenses may be charged at cost.
- The client is responsible for applicable taxes related to the services.
Payment Terms
Invoices are due within five (5) days unless otherwise agreed in writing. Milestone-based payments may apply as specified in the Agreement.
Failure to make timely payment may result in suspension of services.
Changes to Project Scope
All scope modification requests must be submitted in writing.
Minor adjustments that do not significantly affect cost or schedule may be incorporated within the existing Agreement. Significant changes require a supplemental written agreement.
Revised proposals are generally valid for fourteen (14) working days.
Delays
If delays occur due to incomplete client materials, late approvals, or other client-side factors, project timelines may be extended accordingly.
If delays arise on our side, we will inform the client promptly and work toward a reasonable resolution.
Events beyond reasonable control, including technical disruptions or force majeure situations, are not considered breaches and may extend timelines.
Review and Acceptance
We conduct internal quality checks before submitting Deliverables.
Clients have seven (7) working days to review delivered work and provide feedback. Reasonable revisions will be addressed within an agreed timeframe.
Client Responsibilities
Clients agree to provide lawful, accurate, and ready-to-use materials. They must ensure they have the rights to use any supplied content.
Unless otherwise agreed, clients are responsible for final proofreading and timely decisions regarding third-party services.
Attribution and Portfolio Use
Unless restricted in writing, we may include a discreet accreditation reference within completed projects.
We may also display completed work in our portfolio. Neither party should unreasonably restrict factual acknowledgment of collaboration.
Confidential Information
Both parties agree to keep non-public information confidential. Confidential information does not include information that is publicly available or lawfully obtained from third parties.
Independent Contractor Status
Ml-engineers.com operates as an independent contractor. Nothing in these Terms establishes a partnership, joint venture, employment, or exclusivity arrangement unless expressly agreed in writing.
We may engage subcontractors while remaining responsible for service delivery.
Limitation of Liability
Services are provided on an “as is” basis to the extent permitted by applicable law.
Our total liability for any claim related to services is limited to the amount paid for the specific services giving rise to the claim.
Intellectual Property Rights
Upon full payment, the client receives a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
Company Tools and reusable components remain our property unless explicitly transferred in writing. Redistribution or modification beyond agreed use may be restricted.
Support Services
Support services are provided only if separately agreed in writing and may incur additional fees.
Any warranty may become void if Deliverables are altered by third parties without authorization.
Updates to These Terms
We may update these Terms and Conditions from time to time. The version published on ml-engineers.com governs ongoing use. Continued use of the website or services indicates acceptance of any updated terms.
